The Ministry of Corporate Affairs has launched its largest one-time compliance relief scheme. From 15 April 2026 to 15 July 2026, companies with pending filings get a unique chance to regularize at a fraction of the usual cost.
Completing Private Limited Company Registration is only the beginning of running a compliant business. After receiving the Certificate of Incorporation, directors must ensure that the company fulfils its statutory obligations under the Companies Act, 2013, and other applicable laws.

Non-compliance can have consequences for both the company and officers responsible for the default.
Failure to file INC-20A: Under Section 10A, the company may face a penalty of ₹50,000, while every officer in default may face a penalty of ₹1,000 for each day of continuing default, subject to the statutory provisions. Failure to file can also restrict the company from commencing business or exercising borrowing powers.
Late annual filings: Under Sections 92 and 137, delayed annual returns and financial statements can attract statutory penalties. For example, the general penalty provisions for certain defaults can include ₹10,000 initially and additional daily penalties, subject to the applicable statutory maximums.
Other defaults: Failure to maintain required records, make disclosures or complete event-based filings may also attract penalties, additional fees or other regulatory consequences.
The exact amount depends on the relevant provision, the nature of the default and applicable exemptions.
The Ministry of Corporate Affairs introduced the Companies Compliance Facilitation Scheme 2026, a time-limited opportunity for eligible companies to regularise certain overdue filings at reduced additional fees. The scheme ended on 15 July 2026; companies should check for any subsequent applicable relief rather than assume the scheme remains open.
Directors should also monitor MCA notifications and filing requirements, as statutory procedures and forms can change.
