Planning to start a business in India? Before applying for Private Limited Company Registration, it is important to prepare the correct documents for directors, shareholders and the proposed registered office. Missing information, mismatched names or outdated address proofs can delay the incorporation process.
This checklist explains the documents generally required for company incorporation in India and how entrepreneurs can prepare for a smoother registration process.
For Indian nationals who will act as directors or initial shareholders, the following documents and details are generally required:
PAN Card: Essential for Indian individual applicants.
Identity and address proof: Aadhaar, passport, voter ID or other acceptable documents, as applicable.
Photograph: A recent photograph may be required for related service applications.
Email address and mobile number: For verification, communication and digital signature processes.
Residential address details: The applicant’s current residential address must be accurately provided.
Digital Signature Certificate (DSC): Required for digitally signing the relevant incorporation forms.
Where a person is both a director and shareholder, the same individual may need to provide information in both capacities.

Every company must have a registered office in India. Depending on whether the premises are owned, rented or used with permission, the following documents may be required:
Proof of ownership or a valid rent or lease agreement.
A recent electricity bill or other acceptable utility bill for the premises.
A No Objection Certificate (NOC) from the property owner, where applicable.
Supporting address documentation consistent with the proposed registered office details.
The exact documents depend on the circumstances and the requirements of the Ministry of Corporate Affairs (MCA). Utility bills submitted as incorporation attachments are generally required to be recent, commonly not older than two months under the applicable filing instructions.
If a proposed director or shareholder is a foreign national, additional documentation may be necessary. This can include a valid passport, overseas residential address proof and documents authenticated through notarisation, apostille or consular procedures, depending on the country and applicable requirements.
If an existing company or other legal entity will subscribe to the shares, its incorporation documents, authorising board resolution and details of its authorised representative may also be required.
Foreign investment may involve additional compliance under applicable foreign exchange regulations.
The incorporation process generally involves filing the relevant forms through the MCA portal, including SPICe+ and linked forms, as applicable.
Other documents or declarations may include:
Memorandum of Association (MOA).
Articles of Association (AOA).
Declarations and consents from subscribers and directors.
Details of proposed share capital and shareholding.
Registered office documents and other supporting attachments.
The exact filing requirements vary according to the company structure, number and type of subscribers, and the circumstances of the application.
Before submitting an application, check that:
Names and dates of birth match across supporting documents.
Residential and registered office addresses are accurate.
Documents are legible, valid and appropriately signed.
The proposed company name meets applicable MCA requirements.
Shareholding details and company objectives are consistent across the application and supporting documents.
Preparing these details in advance can help reduce avoidable resubmissions.
Once the Certificate of Incorporation is issued, the company must attend to applicable post-incorporation obligations, including the first Board meeting, auditor appointment, commencement-of-business filing where applicable, accounting records and annual compliance.
