Appointment of Designated Partner/Partner:- Every Limited Liability Partnershi (LLP) shall be required to have atleast two Designated Partners who shall be individuals and at least one of the Designated Partner shall be a resident of India. In case of a LLP in which all the partners are bodies corporate or in which one or more partners are individuals and bodies corporate, at least two individuals who are partners of such LLP or nominees of such bodies corporate shall act as designated partners.

Appointment of Partner refers to the process of adding a new individual as a partner in an existing Partnership Firm or LLP. The new partner becomes entitled to share profits and losses and takes on rights and responsibilities as per the partnership agreement.

A new partner can be appointed:

  • For business expansion
  • To bring additional capital or expertise
  • To replace a retiring partner
  • By mutual consent of existing partners
  • The appointment must be agreed upon by all partners unless the agreement states otherwise.

  • For a Partnership Firm, the Partnership Deed must be updated to include the new partner’s details and revised profit-sharing ratio.
  • For an LLP, a Supplementary LLP Agreement must be executed and filed with MCA.

In case of LLP:

  • Form 4 is filed for appointment of partner/designated partner
  • Form 3 is filed for changes in LLP Agreement
  • These must generally be filed within 30 days of appointment to avoid penalties.
